IACET Authorized Provider Agreement
As an applicant for approval as an IACET Authorized Provider, our organization agrees to:
Represent and warrant that I am of legal age and have every right and the power and authority to contract in my own name and to execute this Application and bind Applicant. Fully and accurately complete the application, providing all requested documentation including processes, procedures, and policies for review by the Authorized Provider Commission. Provide access to the primary training site to the IACET site visitor, including access to inspect all classrooms, facilities, and materials provided to learners or used in the development of courses. Completely and accurately identify the nature of the organization applying for AP status, including legal status of any groups within the applicant organization who are to be considered as part of the organization and the reporting structure showing how each group is controlled by the individual who is purported to be the person responsible for ensuring all IACET criteria and guidelines or standards are being followed. Provide accurate and truthful information to IACET in all transactions to the best of our knowledge. Conduct our operations, learning programs, and programs in an ethical manner that respects the rights and worth of the individuals we serve and in a manner that reflects favorably on IACET. Provide full and accurate disclosure of information about our learning programs, services, and fees in our promotions and advertising. Use only the IACET approved statements without any modifications when referencing our Authorized Provider status and not make any representations or warranties on IACET's behalf. Use only the approved statements in describing our relationship with IACET and/or when the Authorized Provider logo is used on continuing education marketing or promotional materials and otherwise comply with any guidelines or measures provided by IACET from time to time with respect to its trademarks, logos, and intellectual property. Agree that IACET reserves all rights and licenses not expressly granted. Report to IACET, within thirty (30) days, any major organizational or program changes that impact the role and mission of the administrative unit on which authorization is currently based. If accredited or approved by another agency, notify IACET within thirty (30) days if our organization is placed on probation or has its accreditation/approval withdrawn for other than voluntary reasons. Accept IACET designated monitors in any programs we provide for purposes of monitoring compliance with the IACET Standards and criteria and waive registration fees for such monitors. Furnish requested information, work cooperatively with IACET, and pay member fees on a timely basis. Operate within the IACET Standards and criteria and the terms of this agreement or relinquish our authorization status. Upon notification from the IACET Commission, abide by any revision of the IACET Standards and criteria or inform the IACET Commission of intentions to withdraw. Follow the appeal process provided for in the IACET Commission Policies and Procedures and abide by the final findings of IACET in regard to application or membership status. Agree that non-compliance with IACET policies may result in Authorized Provider status being revoked immediately by IACET and to hold IACET blameless in the event that Authorized Provider status is denied or withdrawn from our organization. Agree that IACET may periodically monitor Applicant's activities under this Application to ensure that Applicant is using only the approved statements and not misrepresenting their relationship with IACET. Agree that in the event of a dispute the law governing this Application and these terms and conditions shall be that of the Commonwealth of Virginia, without regard to its conflicts of law provisions, and the United States District Court in Arlington, Virginia shall have the sole and exclusive, original jurisdiction over the parties and the subject matter in resolving any such dispute. Pay such sums as the court may adjudge for reasonable attorney fees and pay all costs and disbursements incurred if a lawsuit is filed on behalf of IACET to obtain compliance by our organization to cease and desist use of the approved statements of authorization, if such authorization is withdrawn by IACET. AGREE THAT IACET MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE SUITABILITY, COMPLETENESS, TIMELINESS, RELIABILITY, LEGALITY, OR ACCURACY OF ANY INFORMATION, SERVICES, PROGRAMS, PRODUCTS, AND MATERIALS PROVIDED BY IACET FOR ANY PURPOSE AND EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AGREE THAT IN NO EVENT SHALL IACET BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY INFORMATION, SERVICES, PROGRAMS, PRODUCTS, AND MATERIALS MADE AVAILABLE BY IACET, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF YOU OR APPLICANT HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Acknowledge and agree that Applicant and IACET are independent contractors, and neither this Application nor any of these terms and conditions may be construed as creating a partnership, joint venture, employment, or agency relationship with IACET. Agree that this Agreement constitutes the entire agreement between IACET and Applicant relating to the subject matter hereof and supersedes and replaces any and all prior oral or written agreements. Agree that this application and any approval by IACET is personal and may not be assigned or transferred by Applicant without IACET's prior written consent.
